Terms & Conditions
These terms govern any project engagement with STRAT Studios, operated by Julij Rape, an independent designer based in Slovenia. By booking a call, signing a proposal, or starting a project, you agree to the terms below.
1. Services & scope
Every engagement starts with an agreed scope of work and deliverables, confirmed in writing before anything begins. Work outside that scope isn’t included automatically, it’s quoted separately, so there are no surprise invoices.
2. Timeline
Delivery dates are agreed at kickoff and treated seriously. That said, timelines depend on both sides, delays caused by missing information, late feedback, or materials not provided on time will extend the schedule accordingly.
3. Payment
Projects are billed 50% upfront and 50% on final delivery, unless a different structure is agreed in writing. Work begins once the first payment clears, and final high-resolution, watermark-free files are released once the balance is settled. Invoices unpaid 14 days past the due date carry a 20% monthly late fee until paid in full.
4. Revisions
Each project includes a set number of revision rounds, agreed upfront during onboarding. Additional rounds beyond that are billed at 30 EUR per hour, or a fixed fee agreed in advance, whichever fits the request better.
5. Ownership & intellectual property
Once a project is paid in full, you receive a non-exclusive, perpetual license to use the final delivered work for the project’s intended purpose. Source files, working project files, and production materials stay with STRAT Studios unless ownership is transferred under a separate written agreement and fee, this keeps future edits and re-cuts possible without locking you out of your own brand.
6. Portfolio rights
Unless you ask otherwise in writing, completed work may be shown in STRAT Studios’ portfolio, website, social media, and other promotional material.
7. Independent contractor
STRAT Studios is Julij Rape, an independent designer operating as a sole proprietor in Slovenia, not an employee or joint venturer of any client. Taxes and statutory obligations tied to this work are handled independently.
8. Client responsibilities
Projects move fastest when clients provide accurate project information, the materials and references needed, and timely feedback. Missing any of these may push the delivery date and add cost, delays caused by late or missing input aren’t on STRAT Studios.
9. Termination
Either side can end an engagement with 7 days’ written notice. If a project is cancelled after work has started, completed work remains billable, any upfront payment already made is non-refundable, and the client covers work completed up to the cancellation date.
10. Limitation of liability
STRAT Studios’ liability under any engagement is limited to the total amount paid for that project, and excludes indirect, incidental, or consequential damages.
11. Governing law
These terms are governed by the laws of the Republic of Slovenia. Any disputes are worked out amicably wherever possible before anything more formal.
